TERMS AND CONDITIONS

1. TERM AND TERMINATION

1.1 Term Length:

- DIY Security Systems: Twenty-four (24) month initial term

- Standard Systems: Twelve (12) month initial term

- All agreements automatically renew on a month-to-month basis thereafter

1.2 Termination Notice:

- Either party may terminate at the end of the initial term with thirty (30) days

written notice

- Early termination requires payment of 100% of remaining contract value

- Provider may terminate immediately for breach of agreement

2. CHARGES AND PAYMENT

2.1 Payment Terms:

- All invoices due within fifteen (15) days of issue

- Interest charge of 10% applies to overdue accounts

- Monthly monitoring fees due on the 1st of each month

- Equipment costs due upon purchase

2.2 Additional Charges:

- Customer responsible for all applicable taxes, fees, and assessments- False alarm fines and dispatch charges are customer's responsibility

- $30 administrative fee for processing third-party charges

- Provider reserves right to increase annual charges after first year

3. MONITORING SERVICES

3.1 Service Provision:

- 24/7 professional monitoring through Total Connect services

- Response protocols follow industry standards

- One-hour training period upon system activation

- During training period, only keyholders will be notified

3.2 Service Requirements:

- Reliable internet connection required

- Customer responsible for maintaining communication pathways

- System testing required monthly

- Emergency contact information must be kept current

4. LIMITED WARRANTY

4.1 Equipment Warranty:

- 90 days on equipment defects

- Excludes damage from misuse, abuse, or acts of nature

- Labor warranty during normal business hours

- Replaceable items (batteries, etc.) not covered

4.2 Service Warranty:- Provider warrants professional service delivery

- No warranty on third-party services or internet connectivity

- Software provided "as is" without warranty

- Warranty void if unauthorized modifications made to system

- Warranty void if unauthorized equipment connected to system

5. LIABILITY LIMITATIONS

5.1 Provider Liability:

- Provider is not an insurer

- Maximum liability limited to $500 or six times monthly fee

- No liability for service interruptions beyond Provider's control

- Customer must maintain separate insurance coverage

5.2 System Limitations and Disclaimers:

- Radiant Security, LLC explicitly disclaims any guarantee or warranty that no loss will

occur

- Customer acknowledges that regardless of system quality or careful installation,

possibility of system failure exists

- Provider cannot and does not guarantee prevention of:

a) Burglary, robbery, theft

b) Fire, smoke, or water damage

c) Personal injury or loss of life

d) Property damage or loss

- Annual fees are for system rental, service, support, and monitoring only

- Fees shall not be construed as insurance premiums

- Customer solely responsible for obtaining and maintaining proper insurancecoverage

5.3 Liability Exclusions:

- Provider not liable for losses associated with system or service failure

- No liability even if due to negligent performance or fundamental breach

- Provider not responsible for:

a) Failure of authorities to respond

b) Delayed response by authorities

c) Actions or inactions of emergency responders

d) Communication failures or disruptions

e) Internet or cellular network interruptions

- Any action against Provider must be commenced within one year

5.4 Warranty Exclusions:

- One-year warranty excludes damage from:

a) Acts of God (natural disasters, weather events)

b) Lightning strikes

c) Floods

d) Fires

e) Power surges

f) Customer negligence

g) Abuse or misuse

h) Unauthorized modifications

i) Connection of unauthorized equipment

- Replaceable items not covered including:

a) Batteries

b) Light bulbsc) Fuses

d) Other consumable items

6. FALSE ALARM AND MONITORING LIABILITY

6.1 False Alarm Responsibility:

- Customer assumes full responsibility for all false alarms regardless of cause

- Customer is solely responsible for all fines, fees, and penalties imposed by any

authority

- Customer agrees to pay any dispatch charges levied by police, fire, or emergency

services

- False alarm fines plus $30 administrative fee will be charged to Customer's account

- Suspension of emergency response due to false alarms does not relieve payment

obligations

6.2 Central Station and Monitoring Limitations:

- Customer acknowledges that Radiant Security, LLC utilizes third-party central

station services

- Neither Radiant Security, LLC nor its monitoring station partners guarantee

response time from authorities

- Customer acknowledges that alarm signals will not reach monitoring station if

communication services are disrupted

- Customer is responsible for regular testing of system communication with

monitoring station

- Prior notice required for all system tests to avoid false alarm dispatch

- Customer advised that dedicated supervised communicator available at additionalcost

- All communicator equipment remains property of Radiant Security, LLC

6.3 Response Limitations:

- Neither Radiant Security, LLC nor monitoring station liable for:

a) Failure of authorities to respond to alarm signals

b) Delayed response by authorities

c) Suspension of response due to excessive false alarms

d) Communication failures between premises and monitoring station

e) Internet or cellular network disruptions affecting system communication

- Such limitations shall not relieve Customer of payment obligations

7. AUTOMATIC PAYMENT AUTHORIZATION

7.1 Payment Method:

- Customer authorizes Radiant Security, LLC to automatically charge the designated

payment method for:

a) Monthly monitoring fees

b) Applicable taxes and fees

c) Any additional services requested

- Charges will occur on the 1st of each month

- Customer agrees to maintain valid payment information

- Customer will be notified of any price changes 30 days in advance

7.2 Authorization Agreement:

- This authorization remains in effect until canceled in writing

- Customer agrees to notify Radiant Security of any changes to payment information- If payment is declined, a $30 administrative fee may apply

- Radiant Security reserves the right to terminate services for failed payments

8. GENERAL PROVISIONS

8.1 Agreement Approval:

- Not binding until approved by Radiant Security manager

- Provider may return any deposits if approval not given

8.2 Assignment:

- Customer may not assign without written consent

- Provider may assign rights and obligations

8.3 Notices:

- Must be in writing

- Deemed received third business day after mailing

- Must be sent via registered/certified mail

8.4 Governing Law:

- Agreement governed by Mississippi law

- Legal actions handled in Mississippi courts

8.5 Severability:

- Invalid provisions considered deleted

- Remaining provisions remain in full effect

- Agreement interpreted to maintain stated purpose9. ARBITRATION

9.1 Agreement to Arbitrate:

- Customer and Radiant Security, LLC agree that any dispute, claim, or controversy

arising out of or relating to this Agreement shall be resolved exclusively through

binding arbitration

- This includes claims related to:

a) System performance

b) Monitoring services

c) Billing disputes

d) Equipment issues

e) Installation concerns

f) Contract interpretation

g) Any other aspect of the relationship

9.2 Arbitration Process:

- Arbitration shall be conducted in Pearl, Mississippi

- Arbitration shall be administered by the American Arbitration Association (AAA)

- Arbitration shall be conducted by a single arbitrator

- The arbitrator's decision shall be final and binding

- Judgment on the arbitrator's award may be entered in any court of competent

jurisdiction

9.3 Class Action Waiver:

- Customer waives any right to participate in class actions or class-wide arbitration

- All claims must be brought in an individual capacity- No claim shall be joined with another party's claim

- The arbitrator may not consolidate more than one person's claims

9.4 Cost of Arbitration:

- Each party shall bear its own costs of arbitration

- Filing fees shall be split equally between parties

- Arbitrator's fees shall be split equally between parties

- The prevailing party may be awarded reasonable attorney's fees

9.5 Exceptions:

- Either party may seek emergency equitable relief in a court of competent

jurisdiction

- Small claims court cases are exempt from mandatory arbitration

- Collection matters under $5,000 may be pursued in court

9.6 Opt-Out Right:

- Customer may opt out of this arbitration provision within 30 days

- Opt-out must be in writing and sent via certified mail

- Opt-out notice must include customer's name, address, and account number

- Opt-out notice must clearly state intent to opt out of arbitration

9.7 Survival:

- This arbitration provision survives:

a) Termination of this Agreement

b) Bankruptcy by either party

c) Transfer or assignment of Agreement

- Only a written agreement signed by both parties can modify this

10. DIGITAL ACCEPTANCE

By completing the checkout process on www.myradiantsecurity.com, Customer agrees

to these Terms and Conditions and authorizes monthly drafted monitoring payments.

Customer acknowledges that this electronic acceptance constitutes a legally binding

signature under Mississippi law. The date, time, and IP address of acceptance will be

automatically recorded upon checkout.

This electronic acceptance confirms that:

a) Customer has read, understood, and agrees to all terms and conditions in this

agreement

b) Customer authorizes automatic monthly payments as described in Section 7

c) Customer understands this acceptance constitutes a legally binding agreement

d) Customer is authorized to enter into this agreement

e) Customer acknowledges this agreement is binding upon submission
